Terms of Service

1. Acceptance of Terms
These Terms of Service ("Terms") constitute a binding legal agreement between you ("Attorney User" or "you") and LegalGEN, Inc. ("LegalGEN," "we," "us," or "our") governing your use of the LegalGEN platform, website, and related services (collectively, the "Services").
By creating an account, accessing the platform, or using any LegalGEN service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Services.
If you are accepting these Terms on behalf of a law firm or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of Services
LegalGEN provides a technology platform that enables licensed attorneys to:
- Collect and organize client intake information through branded digital workflows
- Generate estate planning documents using attorney-provided templates and AI-assisted drafting
- Offer online estate planning products (wills, trusts, powers of attorney) to clients
- Collect client payments online in connection with legal services
- Integrate intake and document data with practice management systems
LegalGEN is a technology service provider — not a law firm. We do not provide legal advice, legal representation, or legal services of any kind. All legal judgment, advice, and professional responsibility rests with the attorney using the platform.
3. Eligibility
The LegalGEN platform is available exclusively to:
- Licensed attorneys in good standing with their state bar
- Law firms operating under the supervision of licensed attorneys
- Legal plan providers operating with licensed attorney supervision
By using LegalGEN, you represent and warrant that you are a licensed attorney in good standing or acting under the supervision of a licensed attorney, and that your use of the platform complies with all applicable rules of professional conduct.
4. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to:
- Provide accurate and complete information when creating your account
- Keep your account information current and accurate
- Notify us immediately of any unauthorized use of your account
- Not share your account credentials with any unauthorized person
- Use a strong, unique password and enable multi-factor authentication
5. Attorney Obligations
5.1 Professional responsibility
You are solely responsible for ensuring your use of LegalGEN complies with all applicable rules of professional conduct, bar rules, state ethics opinions, and legal professional obligations in every jurisdiction where you practice.
5.2 Attorney review required
All documents generated by LegalGEN's AI must be reviewed and approved by a licensed attorney before delivery to any client. You agree not to deliver AI-generated documents to clients without attorney review. LegalGEN's platform enforces this requirement technically, but ultimate responsibility rests with the attorney.
5.3 Client consent and disclosure
You are responsible for obtaining all necessary client consents and making all required disclosures related to your use of technology-assisted legal services, consistent with applicable bar rules and ethics opinions in your jurisdiction.
5.4 Accuracy of templates
You are responsible for ensuring that the document templates you provide for AI configuration are accurate, legally compliant, and appropriate for use in your jurisdiction. LegalGEN's AI generates output based on the templates you provide.
5.5 Client funds
Attorney fees collected through LegalGEN's payment system are attorney fees — not advanced costs or client funds held in trust. You are responsible for ensuring your fee collection practices comply with applicable trust accounting rules. LegalGEN does not operate as a trust account.
6. Prohibited Uses
You may not use LegalGEN to:
- Provide legal services without a valid law license or proper supervision
- Deliver AI-generated documents to clients without attorney review
- Engage in unauthorized practice of law
- Violate any applicable bar rule or ethics opinion
- Collect client funds into personal accounts in violation of trust accounting rules
- Reverse engineer, decompile, or attempt to extract source code from the platform
- Access the platform through automated means without our express written permission
- Use the platform for any illegal purpose or in violation of any applicable law
- Resell, sublicense, or redistribute access to the platform without our written consent
7. Intellectual Property
7.1 LegalGEN IP
LegalGEN and its licensors own all right, title, and interest in the platform, software, AI models, documentation, and all associated intellectual property. These Terms do not grant you any ownership rights in LegalGEN's intellectual property.
7.2 Your templates and content
You retain ownership of the document templates, firm branding, and content you provide to LegalGEN. By uploading templates for AI configuration, you grant LegalGEN a limited license to use those templates solely to configure the AI for your account and generate documents on your behalf.
7.3 Generated documents
Documents generated by LegalGEN's AI using your templates belong to you (the attorney) and your clients. LegalGEN does not claim ownership of AI-generated output.
8. AI-Generated Documents
LegalGEN uses artificial intelligence to generate legal documents based on your templates and client intake data. You acknowledge and agree that:
- AI-generated documents require attorney review before client delivery
- AI generation is based on the templates and configuration you provide — accuracy depends on template quality
- LegalGEN does not warrant that AI-generated documents are legally accurate, complete, or appropriate for any specific client situation
- The supervising attorney is solely responsible for the accuracy and appropriateness of documents delivered to clients
- AI models may make errors — attorney review is a mandatory safeguard, not a formality
Professional responsibility reminder: The duty of competence and diligence belongs to the attorney. LegalGEN's AI is a drafting tool — not a substitute for attorney judgment.
9. Payment Terms
Subscription fees are billed monthly or annually in advance. By providing payment information, you authorize LegalGEN to charge your payment method for all applicable fees.
- Monthly subscriptions: Billed on the same day each month
- Annual subscriptions: Billed annually, 20% discount applied
- Per-package pricing: Billed at time of package generation
- Failed payments: If payment fails, we will attempt to retry. Accounts with unpaid balances may be suspended after 7 days
- Refunds: Subject to our 30-day money-back guarantee for new subscribers. No refunds after 30 days except as required by law
- Price changes: We will provide 30 days' notice before increasing subscription prices
10. Termination
Either party may terminate these Terms at any time:
- You: Cancel your subscription at any time through the attorney portal. Access continues through the end of the current billing period.
- LegalGEN: We may suspend or terminate your account for violation of these Terms, non-payment, or conduct that poses a risk to other users or the platform.
Upon termination, you may export your data within 30 days. After 30 days, we may delete your account data in accordance with our data retention policy.
11. Disclaimer of Warranties
THE LEGALGEN PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGALGEN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
LegalGEN does not warrant that: (a) the platform will be uninterrupted or error-free; (b) AI-generated documents will be legally accurate or complete; (c) the platform will meet your specific requirements; or (d) any defects will be corrected.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LEGALGEN'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LEGALGEN IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $1,000.
LegalGEN shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or professional liability claims arising from your use of AI-generated documents.
13. Indemnification
You agree to indemnify, defend, and hold harmless LegalGEN and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the platform in violation of these Terms
- Your violation of any applicable rule of professional conduct or bar rule
- Documents you deliver to clients generated using the platform
- Any claim by a client arising from your legal services
- Your violation of any applicable law
14. Governing Law & Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved by binding arbitration under the rules of the American Arbitration Association, conducted in English in Delaware. You waive any right to participate in class action litigation.
15. Changes to Terms
We may update these Terms from time to time. Material changes will be communicated by email and/or a notice in the attorney portal at least 30 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
